PUBLIC OFFER
(An offer to conclude a contract for the provision of services and the supply of equipment)

1. KEY TERMS
1.1. The Contractor (the Seller) — “GPS Solutions” MMC (registered address: AZ1069, Azerbaijan, Baku, 5A Agasadykh Geraybeyli street; email: info@gps.az; tel.: +994 (12) 404-12-02).
1.2. The Site — the Contractor's official web resource, located on the Internet at https://gps.az.
1.3. The Customer (the Buyer) — any natural person or legal entity that has visited the Site and sent a request for services or for the purchase of equipment through the feedback forms.
1.4. Goods / Equipment — GPS trackers, fuel level sensors, video recorders and other telematics equipment, information about which is presented on the Site.
1.5. Services — services for the satellite monitoring of vehicles (granting access to the Software), and for the fitting, configuration and technical servicing of the Equipment.
2. GENERAL PROVISIONS
2.1. This document is an official offer (a public offer) by the Contractor in accordance with Article 408 of the Civil Code of the Republic of Azerbaijan and contains all the essential conditions for the provision of the Services and the sale of the Goods.
2.2. The information placed on the Site (product descriptions, technical specifications) is for reference only.
2.3. Acceptance of the Offer — full and unconditional acceptance of the terms of this Offer is deemed to take place when the Customer carries out one of the following actions:
- Sending a request through a form on the Site;
- Payment of an Invoice issued by the Contractor on the basis of a request from the Site;
- Actual acceptance of the Services rendered or of the Goods.
2.4. The Contractor reserves the right to amend this Offer unilaterally. A new version takes effect from the moment it is published on the Site.
3. SUBJECT OF THE CONTRACT
3.1. The subject of this Contract is:
- The sale and handover to the Customer of Equipment for GPS monitoring;
- The carrying out of work to install (fit) the Equipment on the Customer's vehicles;
- The granting of access rights to the satellite monitoring system (subscription servicing).
3.2. The specific list of Equipment, the scope of the Services and their price are agreed by the Parties by the issue of an Invoice or the signing of a Specification, which then become an integral part of this Offer. The procedure for providing technical support is governed by the Terms of service.
4. PLACING AN ORDER AND REGISTRATION
4.1. To obtain the Services the Customer places a request on the Site (through the “Contact us”, “Request a call” and other forms) or by telephone. Registering a personal account is not compulsory at this stage.
4.2. The Contractor bears no liability for the accuracy of the data provided by the Customer when placing a request.
4.3. Once the request has been received, the Contractor's manager contacts the Customer to clarify the technical details and the fitting conditions and to arrive at the final price, after which an Invoice or a Commercial proposal is sent to the Customer.
5. PRICE AND PAYMENT PROCEDURE
5.1. The prices stated on the Site (where there are any) are indicative and may change depending on the size of the order, on exchange rates and on the technical characteristics of the Customer's vehicles.
5.2. The final price is fixed in the Invoice.
5.3. Payment is made by bank transfer to the Contractor's settlement account.
5.4. The price of the Goods and Services includes value added tax (VAT), where the Contractor is a VAT payer under the legislation of the Republic of Azerbaijan.
6. SUPPLY OF EQUIPMENT AND PERFORMANCE OF WORK
6.1. Delivery/Handover: The Equipment is handed over either at the Contractor's office or at the place where the fitting work is carried out. The Contractor's obligation to hand over the goods is deemed to have been performed at the moment the Parties sign the delivery note or the Handover certificate.
6.2. Fitting: The Equipment is installed by the Contractor's own engineers at an agreed time and place. The Customer is obliged to provide access to the vehicles so that the work can be carried out.
6.3. Acceptance of the installation work is recorded in a Certificate of work completed. If the Customer raises no reasoned objections within 3 (three) working days after the work has been completed, the Services are deemed to have been accepted and are payable in full.
7. WARRANTIES AND RETURNS
7.1. Warranty on the Equipment: The Contractor provides a warranty on GPS trackers for 12 (twelve) months from the day the Handover certificate is signed, provided that the rules of use set out in the Warranty Servicing Policy (provided on request) are observed.
7.2. Warranty on the work: The warranty period on fitting work is 12 (twelve) months.
7.3. Limitations: The warranty does not cover mechanical damage to the Equipment, ingress of moisture (where the casing is not sealed), voltage surges in the vehicle's electrical system, or interference by third parties in the wiring.
7.4. The return of Goods of proper quality by legal entities (B2B) is governed by the terms of the Supply Contract and by the civil legislation of the Republic of Azerbaijan in force, which differs from the return rules for retail consumers.
8. LIABILITY OF THE PARTIES
8.1. The Contractor bears no liability for interruptions in the provision of monitoring services caused by the absence of a GSM/GPRS signal from the mobile operators or of a signal from GPS/GLONASS satellites (in tunnels, underground car parks or areas of radio interference).
8.2. The Contractor bears no liability for losses incurred by the Customer (including lost profit) arising as a result of using, or being unable to use, the monitoring system.
9. CONFIDENTIALITY AND PERSONAL DATA
9.1. The Contractor processes the Customer's data (including those of contact persons) in order to perform its obligations under this Offer: issuing invoices, contact with technical support and providing access to the monitoring system.
9.2. The scope of the data processed: the representative's full name, telephone number, email, vehicle details (registration number, VIN) and geolocation data.
9.3. The Contractor undertakes not to pass the information received to third parties, except in the cases provided for by the legislation of the Republic of Azerbaijan or where this is necessary in order to perform the Service (for example, to the communications operators).
9.4. The detailed conditions for the processing of data are set out in the Privacy policy published on the Site. By accepting this Offer, the Customer confirms its agreement to the Privacy policy.
